End-User Licence Agreement
This End-User Licence Agreement ("Agreement" or "EULA") is the licence that governs your use of the Salieno Core software. It is a legal agreement between you (the person or organisation that subscribes to and installs the software — "you" or "the Licensee") and Salieno ("Salieno", "we", "us", or "our"), the operator of salieno.com.
Salieno Core is licensed to you, not sold. This Agreement tells you exactly what you may and may not do with the software, what we keep ownership of, and what happens to your licence over the life of your subscription.
By installing, activating, or using Salieno Core — including during the free trial — you agree to this Agreement. If you are accepting on behalf of a company or other organisation, you confirm you have authority to bind that organisation. If you do not agree, do not install, activate, or use the software.
This EULA covers the software licence in depth. It sits alongside our Terms of Service, Privacy Policy, and other policies. Where this EULA and the Terms of Service both apply to the software licence, this EULA governs the licence grant.
1. Definitions
A few terms are used throughout this Agreement:
- Salieno Core — our self-hosted hosting-automation platform (billing, provisioning, support and related modules), including its code, the IonCube-encoded proprietary modules, templates, default theme, documentation, and any updates we make available to you.
- Self-hosted — the software runs on a server that you provide, control, and are responsible for. You install and operate Salieno Core on your own infrastructure; we do not host it for you.
- Installation — one running copy of Salieno Core, deployed to a single server environment and identified to our licence server by its licence key.
- Subscription — your paid, recurring plan (currently $6.00 USD per month) that keeps your licence active and entitles you to updates.
- Licence Key — the unique key we issue for your subscription, which your Installation uses to activate and periodically validate the licence.
- End-Clients — your own customers and users, whom you serve using Salieno Core.
- Marketplace Add-On — an optional one-time purchase (for example an additional control-panel integration, payment gateway, domain registrar, or theme) that extends Salieno Core.
2. Licence Grant
Subject to your continued compliance with this Agreement and to your Subscription remaining active, Salieno grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to:
- install and run one (1) Installation of Salieno Core on a server you control; and
- use that Installation to operate your own hosting or online-services business, including serving an unlimited number of End-Clients.
That is the whole of the right we grant. This licence is:
- Non-exclusive — we license the same software to other customers.
- Non-transferable — the licence is personal to you. You may not sell, rent, lease, lend, assign, or otherwise transfer it, the Licence Key, or your Installation to anyone else, except as expressly permitted in Section 15 (Assignment).
- Tied to an active Subscription — the licence exists only while your Subscription is active. It activates when your Subscription begins (including at the start of your free trial) and deactivates when your Subscription lapses, as described in Section 9.
2.1 One Installation per Subscription
Each active Subscription authorises one production Installation. If you want to run more than one Installation — for example a second, separate deployment — each additional Installation needs its own active Subscription and Licence Key.
2.2 What this licence does not include
This licence does not grant you any right to the source code of the IonCube-encoded modules, to resell or redistribute Salieno Core, or to use our name, logos, or brand except as needed to run your Installation. Any right not expressly granted here is reserved by Salieno.
3. Your Subscription, Trial, and Fees
The licence is delivered as a subscription. In plain terms:
- Price. Salieno Core is offered as a single plan at $6.00 USD per month. Applicable taxes may be added.
- Free trial. New subscriptions start with a 30-day free trial. We collect your payment details when you sign up, but the first charge is taken on day 30, when the trial ends and your paid subscription begins — unless you cancel before then. During the trial you hold a full, active licence under this Agreement.
- Billed monthly in advance. After the trial, we charge your subscription monthly, in advance, for the upcoming month. Payments are handled by our payment processor (see Section 7); Salieno never stores your card number.
- Free updates while you pay. For as long as your Subscription stays paid and active, you receive our updates to Salieno Core at no extra charge (see Section 8).
- Cancel anytime. You may cancel your Subscription at any time. Cancellation stops future charges and takes effect at the end of the period you have already paid for.
- No refunds. There is no money-back guarantee. Cancelling prevents future charges, but we do not refund amounts already paid, including for the current billing period. Amounts already charged are non-refundable except where a refund is required by law.
Full billing mechanics — retries, failed payments, and the like — are described in our Terms of Service. This Section governs how those facts affect your licence.
4. Ownership and Intellectual Property
Salieno Core is licensed, not sold. Salieno and its licensors own all right, title, and interest in and to the software, and retain all intellectual-property rights in it.
This includes, without limitation:
- the IonCube-encoded proprietary modules, which are compiled and encoded specifically to protect our source code and remain our confidential, proprietary property at all times;
- the underlying code, architecture, logic, and design of Salieno Core (built on Laravel and Livewire), the default theme, templates, and documentation; and
- the Salieno name, logos, and other brand features.
You receive only the limited licence described in Section 2. You do not acquire ownership of any copy of Salieno Core by installing it, subscribing, or paying fees. Downloading the software or holding a copy on your own server does not transfer any ownership to you.
The data your Installation generates and holds is yours — see Section 6. Our ownership covers the software, not your business content or your End-Clients' data.
5. Licence Restrictions
To keep the licence, you must use Salieno Core only as this Agreement allows. You must not, and must not allow anyone else to:
- Reverse-engineer, decompile, disassemble, or decode any part of Salieno Core, or otherwise attempt to derive, reconstruct, or extract the source code of the IonCube-encoded modules, except to the narrow extent that applicable law expressly permits this despite this restriction — and then only after asking us in writing whether we can provide the information you need.
- Defeat, remove, disable, bypass, tamper with, or interfere with the licence checks, activation, Licence Key validation, or any other technical protection or security measure in Salieno Core.
- Operate an Installation using a forged, copied, shared, pirated, or otherwise invalid Licence Key, or attempt to activate more Installations than your active Subscriptions authorise.
- Copy, redistribute, resell, sublicense, publish, lease, rent, lend, or otherwise make available Salieno Core (in whole or in part) to any third party as software. Serving your End-Clients through your Installation is fine; handing over the software itself is not.
- Modify, adapt, translate, or create derivative works of the IonCube-encoded modules, or merge them into other software, except through the extension points and configuration we provide.
- Remove, alter, or obscure any copyright, trademark, licence, or other proprietary notices in Salieno Core.
- Use Salieno Core to build, train, or assist a competing product, or to benchmark it for that purpose, without our prior written consent.
- Use Salieno Core in any way that is unlawful, that infringes others' rights, or that breaches our Acceptable Use Policy.
Breaking any restriction in this Section is a material breach of this Agreement and may result in immediate deactivation or termination of your licence under Section 9, in addition to any other remedy available to us.
6. Your Data and Your End-Clients
A defining feature of Salieno Core is that it is self-hosted, so where data lives is clear:
- Your End-Clients' data stays with you. All data your Installation handles about your End-Clients — their accounts, orders, tickets, services, and everything else — lives on your own server. Salieno never touches, receives, or stores your End-Clients' data. Securing, backing up, and complying with the law for that data is your responsibility.
- What Salieno holds about you. To run your subscription and licence, we hold only:
- your own account/identity data, managed through the Salieno identity provider (your email, name, and authentication factors); and
- your billing data needed to manage the subscription.
- Card details. Your card number is held by our payment processor, Stripe — Salieno never stores your card number.
How we handle the limited data we do hold is described in our Privacy Policy and, where applicable, our Data Processing Agreement. If we become aware of a personal-data breach affecting the data we hold, we will notify affected customers without undue delay and within 72 hours of becoming aware of it, in line with those policies.
7. Third-Party Services
Running your subscription relies on a small set of trusted sub-processors:
- Stripe — payment processing (holds your card details);
- an email provider — transactional email (licence, billing, and account messages); and
- monitoring — service health and reliability.
The salieno.com website uses one essential session cookie and no analytics or tracking cookies. These services are covered in more detail in our Privacy Policy and Cookie Policy. Salieno Core itself is your Installation; any third-party services you connect it to (payment gateways, control panels, registrars, and so on) are governed by their own terms and are your responsibility.
8. Updates
While your Subscription is active and paid, you are entitled to the updates we make generally available for Salieno Core, at no additional charge. Updates may include new features, improvements, security fixes, and compatibility changes.
- Updates are delivered as new versions you can download and apply to your Installation. Applying updates is your responsibility, and we recommend keeping your Installation current, especially for security releases.
- Each update, once installed, forms part of Salieno Core and is governed by this Agreement, unless we provide different terms with a specific update.
- When your Subscription lapses, your entitlement to updates and to download access ends (see Section 9). Versions you had already lawfully installed are addressed in Section 9.2.
We may change, add, or discontinue features of Salieno Core over time as the product evolves. We will not promise features we cannot deliver.
9. Licence Activation, Validation, and Deactivation
9.1 Activation and periodic validation
Your Installation activates using its Licence Key and periodically validates that key with our licence server at salieno.com. This is how we confirm your Subscription is active and your Installation is authorised. You agree not to interfere with this process (see Section 5). Our licence server is designed to tolerate brief, temporary unavailability so that short interruptions to our services do not stop a properly licensed Installation from running (see Section 10).
9.2 What happens when your Subscription lapses
Your licence is tied to an active Subscription. A failed payment does not end it immediately: your licence keeps validating for seven days while we retry the card and email you. If the payment is still outstanding on or after the seventh day, the licence is suspended and a one-off $6.00 USD late fee is added to your account, as set out in our Terms of Service.
Suspension is recoverable. Paying restores the same licence, with the same key, on the same Installation — nothing is deleted and nothing needs reconfiguring. If the Subscription ultimately ends — whether because you cancel, or because the balance is never paid — your licence deactivates:
- our licence server stops validating your Licence Key;
- your access to updates and downloads ends;
- the licensed functionality of Salieno Core is suspended and may cease to operate; and
- your right to use Salieno Core under this Agreement ends, and you must stop using the software.
We do not reach into your server or delete your data — your server and the data on it remain yours. But the IonCube-encoded modules will stop operating as licensed, and continuing to run the software after your licence has deactivated is not permitted.
A deactivated licence is not gone. Restarting your Subscription reactivates the licence you already had, with the same Licence Key, so your existing Installation resumes without being re-keyed. This does not apply to a licence we have revoked for breach or abuse, which is permanent.
If you reactivate your Subscription, we will restore your licence and your access to updates and downloads, subject to this Agreement and to any reactivation terms in effect at the time.
10. Availability of Our Licence Services
Salieno Core runs on your infrastructure, so the uptime, performance, and security of your Installation are your responsibility, not ours. We do not, and cannot, guarantee the availability of software running on a server we do not control.
What we are responsible for are our own services at salieno.com — specifically the licence/activation, update, and download services. We will use commercially reasonable efforts to keep those services available, and we design our licensing so that routine maintenance or brief outages of our licence server do not interrupt a validly licensed Installation. We may occasionally take these services offline for maintenance.
Nothing in this Section is a guarantee of uninterrupted or error-free availability, and it does not apply to your self-hosted Installation.
11. Marketplace Add-Ons
You may extend Salieno Core with Marketplace Add-Ons — optional one-time purchases such as additional control-panel integrations, payment gateways, domain registrars, or themes.
- Unless a specific Add-On states otherwise, each Add-On is licensed to you under this same Agreement and is subject to all the same ownership terms and restrictions (Sections 4 and 5).
- Add-Ons are purchased once and are not part of the monthly Subscription fee. As one-time purchases, Add-On fees are non-refundable except where required by law.
- An Add-On is designed to run within a licensed Installation. If your underlying Salieno Core licence deactivates, Add-Ons that depend on it may stop functioning.
12. Trial Terms
Your 30-day free trial gives you a full, active licence under this Agreement so you can evaluate Salieno Core. During the trial, all terms of this Agreement apply.
- We collect your payment details at sign-up. If you do not cancel before the trial ends, your paid Subscription begins and the first charge is taken on day 30.
- The trial is available once per account and once per Installation domain. We record the domain your Installation activates against, and a domain whose trial has already been used cannot be used for another one, including under a different account. A second trial activated against such a domain results in a licence that is suspended until the Subscription is paid, at which point it activates normally.
- We may apply other reasonable measures to prevent trial abuse (for example, repeated trials to avoid paying), and may decline or end a trial we reasonably believe is being abused.
- If an Installation domain has genuinely changed hands, contact us and we will release it so the new owner receives their own trial.
- The no-refund term in Section 3 applies to charges made after the trial converts.
13. Warranty Disclaimer
We build Salieno Core to a high standard, but to the fullest extent permitted by law, Salieno Core and all related services are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory. In particular, we disclaim any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not warrant that Salieno Core will be uninterrupted, error-free, or free of harmful components, or that it will meet your specific requirements. Because the software is self-hosted, the results you get depend on how you configure, secure, update, and operate your own Installation.
Some jurisdictions do not allow the exclusion of certain warranties. Where that is the case, the exclusions in this Section apply to the maximum extent permitted, and you may have additional rights that this Agreement does not affect.
14. Limitation of Liability
To the fullest extent permitted by law:
- We are not liable for indirect or consequential loss. This includes lost profits, lost revenue, lost or corrupted data, loss of goodwill, or business interruption, whether based on contract, tort (including negligence), or any other theory, and even if we were advised such loss was possible.
- Our total aggregate liability arising out of or relating to Salieno Core and this Agreement is limited to the total amount you paid to Salieno for your Subscription in the twelve (12) months immediately before the event giving rise to the claim.
Nothing in this Agreement excludes or limits any liability that cannot be excluded or limited under applicable law — for example, liability for death or personal injury caused by negligence, or for fraud. Where such liability applies, the limits above apply to everything else to the maximum extent the law allows.
Because Salieno Core is self-hosted, we are not responsible for loss arising from your infrastructure, your configuration, your failure to apply updates or backups, your handling of your End-Clients' data, or third-party services you connect to your Installation.
15. Term and Termination
15.1 Term
This Agreement takes effect when you first install, activate, or use Salieno Core (including at the start of your trial) and continues for as long as your licence is active under any Subscription.
15.2 Termination by you
You may end this Agreement at any time by cancelling your Subscription and ceasing all use of Salieno Core. Cancellation stops future charges and, as set out in Section 3, does not entitle you to a refund of amounts already paid.
15.3 Termination or suspension by us
We may suspend or terminate this Agreement and your licence, and deactivate your Licence Key, if:
- your Subscription lapses (as in Section 9);
- you materially breach this Agreement — in particular the restrictions in Section 5 — and, where the breach can be fixed, you do not fix it within a reasonable time after we ask; or
- we are required to do so by law.
For serious breaches — such as tampering with licence checks, piracy, or unlawful use — we may act immediately.
15.4 Effect of termination
On termination or deactivation of your licence for any reason:
- the licence granted in Section 2 ends immediately, and you must stop using Salieno Core and, if we ask, remove or delete your Installation and copies of the software;
- your access to updates and downloads ends; and
- your data on your own server remains yours to keep, export, or delete — we do not remove it, but the licensed software will stop operating as licensed.
Sections that by their nature should survive — including Sections 4 (Ownership), 5 (Restrictions), 13 (Warranty Disclaimer), 14 (Limitation of Liability), 16 (Governing Law), and 17 (General) — survive termination.
16. Governing Law and Disputes
This Agreement, and any dispute arising out of or relating to it or to Salieno Core, is governed by and construed in accordance with the laws of [GOVERNING LAW — owner to set jurisdiction], without regard to its conflict-of-laws rules. You and Salieno agree to submit to the courts of that jurisdiction for the resolution of any dispute, unless applicable law gives you the right to bring proceedings elsewhere.
17. General
- Changes to this Agreement. We may update this Agreement from time to time — for example, to reflect changes in the product, in our services, or in the law. When we make a material change, we will take reasonable steps to let you know. Your continued use of Salieno Core after a change takes effect means you accept the updated Agreement. Each version has an effective date, and the current version always governs your use.
- Entire agreement. This Agreement, together with the documents it references (including the Terms of Service and Privacy Policy), is the entire agreement between you and Salieno about the software licence, and replaces any earlier understanding on that subject.
- Assignment. You may not assign or transfer this Agreement or your licence without our prior written consent, except that you may transfer it to a successor of your business (for example, on a merger or sale of substantially all your assets) if the successor agrees to be bound by this Agreement and you tell us. We may assign this Agreement as part of a reorganisation, merger, or sale of our business.
- Severability. If any part of this Agreement is found unenforceable, the rest stays in effect, and the unenforceable part is limited or removed to the smallest extent necessary.
- No waiver. If we do not enforce a right under this Agreement, that is not a waiver of it.
- Notices. We may give you notices about your licence by email to the address on your account, or through the software or salieno.com. You can reach us using the details in Section 18.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
