Terms of Service

These Terms of Service ("Terms") are the agreement between you and Salieno ("Salieno," "we," "us," or "our") for the use of Salieno Core and the services offered at salieno.com. Please read them carefully. They explain what you get, what you pay, what you can and can't do, and how the agreement can end.

By starting a free trial, subscribing, or installing and running Salieno Core, you agree to these Terms. If you don't agree, don't use the software or the service.

1. Who these Terms are between

"You" means the person or organization that holds the Salieno account and the Salieno Core licence. If you're agreeing to these Terms on behalf of a company or other organization, you confirm that you have the authority to bind that organization, and "you" includes that organization.

We operate under the name Salieno. Our registered address is [REGISTERED ADDRESS — owner to set].

2. What Salieno Core is

Salieno Core is self-hosted software that you install and run on your own server. It's a hosting-automation platform — billing, provisioning, and support for a web-hosting business — in the same category as WHMCS.

A few things this means, and doesn't mean:

• It's self-hosted, not SaaS. We don't host Salieno Core for you. You install it on infrastructure you control, and you're responsible for that server, its uptime, its security, and its backups.
• It's a subscription licence, not a one-time purchase. You pay a recurring monthly fee to keep your licence active and to receive updates. It is not a perpetual licence.
• It's built on Laravel and Livewire. Salieno Core requires PHP 8.2 or newer and a compatible environment. Some modules are IonCube-encoded and remain proprietary (see Section 9).

You may serve an unlimited number of end-clients through your Salieno Core installation.

3. Definitions

To keep the rest of this document short:

• "Salieno Core" — the self-hosted software, including its modules, updates, and documentation.
• "Licence" — the right to install and run Salieno Core, granted in Section 4 and active only while your Subscription is paid and current.
• "Subscription" — your recurring $6.00 USD per month plan that keeps the Licence active and delivers updates.
• "Installation" — one running instance of Salieno Core tied to your Licence.
• "End-Clients" — your own customers, whom you serve using Salieno Core.
• "Marketplace Add-ons" — optional one-time purchases (extra control-panel integrations, payment gateways, domain registrars, themes, and similar) offered through the Salieno marketplace.
• "Licence Server" — the service at salieno.com that validates your Licence and delivers updates and downloads.

4. Your Subscription and Licence

While your Subscription is active and paid, we grant you a limited, non-exclusive, non-transferable, non-sublicensable licence to install and run Salieno Core for your own hosting business.

4.1 What the Licence covers

• One Installation per Licence. Each Licence entitles you to run a single production Installation of Salieno Core.
• Unlimited End-Clients. There's no cap on how many End-Clients you serve from that Installation.
• Free updates while you're subscribed. For as long as your Subscription is paid and current, you receive updates, fixes, and new releases at no additional charge, delivered through the Licence Server.
• The right to use it to run a hosting business. You may resell hosting and related services to your End-Clients through Salieno Core — that's exactly what it's for.

4.2 Licence validation

Your Licence is validated against the Licence Server. Salieno Core will operate as licensed only while your Subscription is active. If your Subscription ends — whether you cancel or a payment fails — the Licence deactivates, updates stop, and your right to run Salieno Core ends (see Section 7 and Section 8).

4.3 What the Licence does not include

• You may not run more Installations than the number of Licences you hold.
• You may not sublicense, resell, rent, lease, or redistribute Salieno Core itself, or make it available to any third party as a product.
• The Licence grants no ownership of Salieno Core (see Section 9).

5. Your responsibilities

Because you run Salieno Core yourself, some things are on you:

• Your server and environment. You're responsible for the availability, performance, security, patching, and backups of the server you install Salieno Core on, and for meeting its technical requirements (PHP 8.2+ and a compatible stack).
• Your End-Clients' data. All data belonging to your End-Clients lives on your server. Salieno never touches, stores, or processes it. You are the controller of that data and are responsible for your own compliance with the laws that apply to you and your End-Clients.
• Your account credentials. Keep your Salieno account and Licence key secure. You're responsible for activity under your account.
• Lawful operation. You're responsible for how you and your End-Clients use Salieno Core.

6. Acceptable use

You agree to use Salieno Core and salieno.com lawfully and in good faith. In particular, you must not:

• Reverse-engineer, decompile, disassemble, or attempt to defeat the IonCube protection on any encoded module, except to the limited extent that applicable law expressly permits despite this restriction.
• Remove, obscure, or alter any copyright, licence, trademark, or attribution notice.
• Copy, redistribute, resell, or sublicense Salieno Core or any Marketplace Add-on, in whole or in part.
• Share, resell, or reuse a single Licence or Licence key across more Installations than you've paid for.
• Use Salieno Core, or allow your End-Clients to use it, to host or distribute unlawful content or services, send spam, distribute malware, infringe others' rights, or violate applicable sanctions or export controls.
• Attack, probe, or interfere with the Licence Server, update service, or any other part of salieno.com's infrastructure.

We may publish a separate Acceptable Use Policy with more detail; where it applies, it forms part of these Terms. Violating this section may lead to suspension or termination under Section 8.

7. Fees, billing, and the free trial

7.1 Price and billing cycle

Salieno Core costs $6.00 USD per month, billed monthly in advance. Each payment covers the month ahead and keeps your Licence active for that month. Prices are in US dollars and exclusive of any taxes, which we'll add where we're required to.

7.2 30-day free trial

New subscribers get a 30-day free trial. We collect your payment method when you start the trial, but your first charge happens on day 30, when the trial ends and your paid Subscription begins. If you cancel before day 30, you won't be charged.

One trial per account, and one trial per installation. The trial is a first-time offer. If you have ever had a Subscription with us, resubscribing starts a paid Subscription immediately with no trial. We also record the domain your Installation is activated against, and a domain that has already used a free trial cannot be used for another one — including under a different account or email address. If a second trial is activated against a domain whose trial has already been used, that Licence is suspended until the Subscription is paid, and it activates normally the moment payment is taken.

If a domain has genuinely changed hands — you bought the business, or took over the domain from someone else — contact us and we will release it so you get your own trial.

7.3 Payment processing

Payments are processed by Stripe. Stripe handles and stores your card details — Salieno never stores your card number. You authorize us, through Stripe, to charge your payment method for the recurring fee and any Marketplace Add-ons you buy.

7.4 Automatic renewal

Your Subscription renews automatically each month using the payment method on file, until you cancel. Because you can cancel at any time (Section 8), each renewal is your decision to continue.

7.5 Failed payments and the late fee

If a renewal payment fails, your Licence keeps working while we retry the card and email you. You have seven (7) days from the failed payment to put it right. We email you when the payment fails, again after three days, and again on the seventh day.

If the payment is still outstanding on or after the seventh day:

• your Licence is suspended — recoverable, not cancelled (Section 8.3); and
• a one-off late fee of $6.00 USD is added to your account.

The late fee is a flat amount, charged once per unpaid billing period. It is not interest, it does not accrue daily, and it is never more than $6.00 USD for a given period. It is added to your account and collected on your next invoice. If we waive it, you are not charged it at all.

7.6 Marketplace Add-ons

Marketplace Add-ons are one-time purchases, billed once at the price shown at checkout. They are subject to these Terms. Like the Subscription, add-on purchases are non-refundable once delivered (Section 8.3).

7.7 Price changes

We may change the Subscription price. If we do, we'll give you at least 30 days' notice by email, and any new price applies only to billing periods that start after the notice period — never retroactively. If you don't want to continue at the new price, you can cancel before it takes effect.

8. Cancellation, no refunds, suspension, and termination

8.1 Cancel anytime — and one Subscription per account

You can cancel your Subscription at any time from your account. Cancellation stops all future charges. Your Licence stays active for the remainder of the period you've already paid for, and then deactivates when that period ends.

Your account has one Subscription, and it is the same one every time. Cancelling does not delete it; it stops it. If you come back, you restart the Subscription you already had rather than creating a second one, and you keep the same Licence key on the same Installation — nothing to reconfigure and no new key to deploy. You cannot hold two Subscriptions on one account.

Restarting requires any outstanding balance on your account — such as a late fee under Section 7.5 — to be paid. That balance is collected as part of the same payment that restarts the Subscription, so there is nothing separate for you to settle first.

8.2 No refunds

There is no money-back guarantee. Cancelling stops future charges, but we do not refund amounts you've already paid, including the current month and any Marketplace Add-ons. If you cancel mid-month, you keep access until the paid month ends; you won't receive a partial refund.

The only exceptions are refunds we're required to give under applicable law, or amounts we choose to refund at our sole discretion.

8.3 Suspension for non-payment

If a payment fails and is not resolved within the seven days described in Section 7.5, we suspend your Licence. During suspension your Installation stops validating and may stop operating as licensed. Nothing is deleted — your data and configuration stay on your own server, and paying restores the same Licence.

Suspension is recoverable: it lifts automatically when payment is taken. If the balance stays unpaid and the Subscription is ultimately cancelled, the Licence expires. An expired Licence can be brought back by restarting the Subscription under Section 8.1; a revoked Licence (Section 8.4) cannot.

8.6 Suspension linked to your installation domain

We record the domain your Installation is activated against, and we use it to enforce two things across accounts:

• Unpaid balances. If a Licence is activated against a domain that carries an unpaid balance from another account, that Licence is suspended until the balance is paid in full. Paying it in full lifts the suspension automatically. Part payment does not.
• Used trials. The free-trial rule in Section 7.2.

We do this because an email address can be created in seconds and a business's domain cannot, and it is the only way to apply these terms to the person rather than to the address they signed up with. It never blocks you from creating an account, and it never affects a Licence over a balance you owe on your own account — your own non-payment is handled by Section 8.3 alone.

If you believe a domain has been matched to you in error, contact us. Because the action is suspension rather than termination, we can reverse it immediately and your Installation resumes with the same key.

8.4 Suspension or termination for breach

We may suspend or terminate your Licence and account if you materially breach these Terms, with notice where practical. For serious violations — such as defeating Licence or IonCube protection, attacking our infrastructure, unlawful use, or sanctions violations — we may act immediately and without prior notice.

8.5 Effect of ending

When your Subscription ends for any reason:

• Your right to run Salieno Core ends, the Licence deactivates, and updates and downloads stop.
• Any Salieno Core software already installed on your server remains on your server, but you may no longer operate it, and its Licence-validated and IonCube-encoded modules will cease to function.
• Your End-Clients' data is unaffected by us — it was always on your own server and we never held it. Managing or migrating it is your responsibility.
• We may delete the account and billing data we hold about you in line with our Privacy Policy, except records we're legally required to keep.

9. Intellectual property

Salieno Core, salieno.com, the Salieno name and logo, all Marketplace Add-ons, and everything in them — code, design, documentation, and content — are owned by Salieno and its licensors and are protected by intellectual-property laws.

• Your Subscription grants a licence to use Salieno Core, not any transfer of ownership.
• IonCube-encoded modules remain proprietary, whether or not other parts of the codebase are readable. Where source is provided for inspection, modification, or extension, that access does not transfer ownership and does not extend to the encoded modules or to any right to redistribute.
• You keep ownership of your own account data, your business, and your End-Clients' data. Nothing here gives us rights in them beyond what's needed to provide the licence and update service and what our Privacy Policy describes.

If you give us feedback or suggestions, we may use them freely to improve Salieno without any obligation to you.

10. Service levels for salieno.com

Our service commitment covers the services we run — the Licence Server, update service, and download services at salieno.com. We aim to keep these available and reliable so your Installation can validate its Licence and receive updates.

This commitment does not cover the uptime, performance, or availability of your self-hosted Installation of Salieno Core. Your Installation runs on your own server, and its availability is your responsibility (Section 5). Planned maintenance, and outages outside our reasonable control, are excluded.

11. Warranties and disclaimers

We work hard to make Salieno Core solid, and to keep our services running. But to the maximum extent permitted by law:

Salieno Core and all Salieno services are provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory — including any implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

We don't warrant that the software will be error-free or uninterrupted, that every defect will be fixed, or that it will meet your specific requirements or those of your End-Clients. You're responsible for evaluating whether Salieno Core is suitable for your business before relying on it.

Some jurisdictions don't allow certain warranty exclusions, so parts of this section may not apply to you.

12. Limitation of liability

To the maximum extent permitted by law:

• Salieno is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, goodwill, or business, arising out of or relating to these Terms or your use of Salieno Core — even if we've been advised such damages were possible.
• Salieno's total aggregate liability for any and all claims relating to these Terms or Salieno Core is limited to the amount you actually paid us in the 12 months immediately before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited by law — such as liability for fraud, willful misconduct, or death or personal injury caused by our negligence.

Because Salieno Core is self-hosted, we are not responsible for losses caused by your server, your configuration, your backups, your End-Clients, or anything else outside our reasonable control.

13. Indemnification

You agree to defend, indemnify, and hold Salieno harmless from claims, damages, losses, and reasonable costs (including legal fees) arising from your use of Salieno Core, your operation of your Installation, your services to your End-Clients, or your breach of these Terms — except to the extent caused by our own breach or misconduct.

14. Changes to these Terms

We may update these Terms from time to time. For material changes — anything that meaningfully affects your rights or obligations — we'll notify active subscribers by email at least 30 days before the changes take effect. Continuing to use Salieno Core or the service after that means you accept the updated Terms.

For minor changes — clarifications, typo fixes, or updated company details — we'll simply update the "Last updated" date above.

If you don't accept a change, your remedy is to cancel your Subscription before the change takes effect (Section 8).

15. Governing law and disputes

These Terms are governed by the laws of [GOVERNING LAW — owner to set jurisdiction], without regard to its conflict-of-laws rules. You and Salieno agree to bring any dispute relating to these Terms in the courts of that jurisdiction, unless applicable law gives you the right to bring it elsewhere.

16. General

• Entire agreement. These Terms, together with any policies they reference (including the Privacy Policy and any Acceptable Use Policy), are the entire agreement between you and Salieno about Salieno Core, and replace any prior understanding on the subject.
• Assignment. You may not assign or transfer these Terms or your Licence without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
• Severability. If any provision is found unenforceable, the rest stays in force, and the unenforceable part is applied to the fullest extent permitted.
• No waiver. If we don't enforce a provision, that isn't a waiver of our right to enforce it later.
• Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
• Notices. We'll send account and legal notices to the email on your account. Please keep it current.
